Service Agreement - EDU Gap Solutions

This agreement is made between Nathalie Nicolet, operating under EDU Gap Solutions (hereinafter referred to as "the Consultant"), and the Client (hereinafter referred to as "the Client").

The purpose of this agreement is to outline the terms and conditions under which the Consultant will provide educational consulting services to the Client.

1. Services Provided

The Consultant agrees to assist the Client in finding suitable educational institutions for their child/children based on the Client's needs and preferences. Services may include an initial consultation, school shortlisting and match reports, additional school assessments, school visit coordination, application preparation and admissions guidance, and enrolment and transition support, as set out in the Consultant's current Price Book.

2. Fees & Payment

Individual services are priced according to the Consultant's current Service Book, confirmed with the Client in writing before any paid work begins. Fees are payable within 14 days of invoice, regardless of whether the Client ultimately chooses to enrol at any recommended school.
Where the Consultant is formally engaged to manage the Client's full admissions process — from initial consultation through to enrolment — at a school with which the Consultant holds a commission agreement, the Consultant's fee is waived, and the Consultant is compensated directly by that institution instead.

This fee waiver applies only to full, end-to-end engagements. If the Client selects an individual service only (for example, a shortlist report) and applies to schools independently thereafter, the fee for that individual service still applies, even where a partner school is involved.

Where applicable, sibling pricing and relocation-partner referral discounts apply as set out in the current Price Book.
For cases falling outside the Consultant's standard service menu, a fixed consultation fee applies, credited toward a tailored quote should the Client proceed further.

3. Cancellations

The Client may cancel a booked paid service within 48 hours of booking for a full refund. Cancellations made after this period are non-refundable, reflecting time and research already committed to the Client's case.

4. Term & Termination

The agreement begins on the date of engagement and remains in effect until services are completed or terminated by either party with written notice. Either party may terminate the agreement at any time with seven (7) days' written notice. Fees for work already completed at the time of termination remain payable.

5. Limitation of Liability

The Consultant is not responsible for any decisions made by the Client regarding school selection or enrollment. The Consultant is not liable for any disputes, issues, or dissatisfaction arising between the Client and any educational institution, including but not limited to academic performance, conduct, fees, or any other matter. The Consultant does not guarantee school admission outcomes.

6. Confidentiality

All information shared by the Client will be kept confidential and used solely for the purpose of providing educational consulting services, in accordance with the Swiss Federal Act on Data Protection (nFADP).

7. Governing Law

This agreement is governed by Swiss law, with exclusive jurisdiction of the courts of the Canton of Vaud, Switzerland.

8. Acknowledgment and Acceptance

By continuing, the Client acknowledges and accepts the terms outlined above.
